Yelbase Site Agreement

Dear user, the agreement before you is concluded between Yelbase, owned by Yelno computer systems L.L.C, and you as the user. The purpose of this agreement is to create a safe environment for exchanging job-related information through the Yelbase platform. This agreement becomes effective upon the user’s registration on the site. If you do not agree with these terms, you may not use the services provided by Yelbase.

Article 1 - Acceptance of Yelbase Conditions

• 1 - 1By registering and using Yelbase services, users confirm that they have thoroughly read and accepted the terms of service in their entirety. Continued use of the platform signifies agreement with any future modifications to the terms and conditions.
• 1 - 2Users must be at least 18 years old and possess full legal capacity to engage in binding agreements under UAE law. Use by individuals without legal capacity or minors is strictly prohibited and may result in immediate termination.
• 1 - 3Yelbase reserves the right to modify these terms at any time without prior notice. It is the responsibility of the user to periodically review these terms. Continued use of the platform after any changes constitutes acceptance of the updated terms.
• 1 - 4All users are required to provide accurate, complete, and up-to-date information upon registration. Falsification of information will result in account termination and potential legal action.
• 1 - 5Users are permitted only one account on Yelbase. The creation of multiple accounts by the same user will result in termination of all accounts involved. Legal or natural entities must ensure compliance with this rule.
• 1 - 6Users are responsible for all activities under their account, whether performed by them or by unauthorized third parties. Users must promptly inform Yelbase of any security breach related to their account.
• 1 - 7Account credentials (username and password) are confidential. Users are required to secure their credentials and notify Yelbase immediately in case of unauthorized access. Yelbase is not responsible for damages arising from unauthorized account use prior to notification.
• 1 - 8Users may not transfer, lease, or sell their Yelbase account. Legal entities must assign a representative with full authority over the account, who will be held responsible for any activities under the account.
• 1 - 9Yelbase reserves the right to request identity verification at any time. Failure to provide the requested documents may result in the suspension or termination of the user’s account.
• 1 - 10Users must ensure that their personal information is always up-to-date. If Yelbase requests corrections or updates, users are required to comply within the specified timeframe. Failure to do so may result in restricted access or service termination.
• 1 - 11By uploading content to Yelbase, users grant Yelbase an irrevocable, perpetual, non-exclusive, royalty-free license to use, modify, and distribute the content. Users retain ownership of the content, but Yelbase reserves the right to publish and transfer content as needed for the operation of the platform.
• 1 - 12Users assume all responsibility for third-party content they encounter on Yelbase. Yelbase is not liable for the accuracy, legality, or appropriateness of user-generated or third-party content.

Article 2 - Definitions and Terms

• 2 - 1Identity of Yelbase

  Yelbase is the brand under which Yelno computer systems L.L.C operates its services.

• 2 - 2Natural Person User

  A natural person user is an individual who creates an account for personal use and is fully responsible for the information provided.

• 2 - 3Legal Entity User

  Legal entity users must designate a representative with full legal authority. The designated representative will have full responsibility for compliance with the terms of service on behalf of the legal entity.

• 2 - 4Software

  Yelbase’s platform, including its software and services, is licensed for temporary use by users in accordance with these terms. The software remains the intellectual property of Yelbase and is not transferred to the user.

• 2 - 5Account

  The account created by users on Yelbase to access its services.

Article 3 - Support, Maintenance, and Availability

• 3 - 1Yelbase may modify, update, or discontinue its services at its sole discretion without prior notice. Users are not entitled to compensation for any service interruption or modification.
• 3 - 2Yelbase does not guarantee continuous service availability. Temporary interruptions may occur due to maintenance, updates, or unforeseen events. Yelbase disclaims all liability for any loss arising from such interruptions.
• 3 - 3Yelbase is not obligated to provide technical support. The platform may offer limited customer support, but this is provided at Yelbase’s discretion and is not a guaranteed service.

Article 4 - User Obligations

• 4 - 1Users must comply with all applicable laws of the UAE, including labor laws, data protection regulations, and cybercrime laws. Violation of any applicable law may result in immediate account termination and legal action.
• 4 - 2Users are responsible for the legality, accuracy, and integrity of the content they upload. Any content found to violate the law, intellectual property rights, or these terms will be removed, and the user may face legal consequences.
• 4 - 3Users are prohibited from engaging in illegal, fraudulent, or harmful activities on the platform. This includes, but is not limited to, distributing viruses, phishing, unauthorized access to other accounts, or posting offensive or defamatory content.
• 4 - 4Users are prohibited from violating third-party intellectual property rights. Users must ensure that any content uploaded does not infringe upon the rights of others.
• 4 - 5Users agree to indemnify and hold Yelbase harmless from any claims, damages, or liabilities arising from their use of the platform, violation of these terms, or infringement of third-party rights.

Article 5 - Yelbase Obligations and Powers

• 5 - 1Yelbase reserves the right to monitor user activity on the platform and remove any content or suspend any account that violates these terms or applicable laws without prior notice.
• 5 - 2Yelbase is committed to protecting user privacy in accordance with its Privacy Policy and UAE data protection laws. However, Yelbase reserves the right to disclose user information to law enforcement authorities if required by law.
• 5 - 3Yelbase may terminate any account at any time, with or without cause, and without prior notice. Termination of an account does not relieve users of any liabilities arising under these terms.
• 5 - 4Yelbase’s liability is limited to direct damages caused by its gross negligence or willful misconduct. Yelbase is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
• 5 - 5Yelbase reserves the right to pursue legal remedies, including filing claims against users who engage in illegal activities or breach these terms.

Article 6 - Intellectual Property Rights

• 6 - 1All intellectual property rights, including trademarks, logos, designs, and content on the Yelbase platform, are the exclusive property of Yelbase or its licensors. Users are not granted any ownership or rights in Yelbase's intellectual property except as explicitly provided in these terms.
• 6 - 2Users are prohibited from using, copying, modifying, distributing, or creating derivative works based on Yelbase’s intellectual property without express written consent from Yelbase. Any unauthorized use of Yelbase’s intellectual property will result in legal action.
• 6 - 3Any content uploaded by users to the platform remains their intellectual property. However, by uploading content, users grant Yelbase a non-exclusive, irrevocable, perpetual, royalty-free, worldwide license to use, modify, reproduce, display, distribute, and create derivative works from the content for the purpose of operating and promoting the platform.

Article 7 - Compensation and Liability

• 7 - 1Yelbase provides its services on an 'as is' and 'as available' basis, without any warranties or guarantees regarding the performance, accuracy, or fitness of the services for a particular purpose. Users acknowledge that Yelbase cannot guarantee uninterrupted or error-free operation of the platform.
• 7 - 2Yelbase’s total liability for any claims related to the use of its services is limited to the amount the user has paid to Yelbase in the preceding 12 months. Under no circumstances will Yelbase be liable for indirect, incidental, or consequential damages, including loss of data, business interruption, or lost profits.
• 7 - 3Users agree to indemnify and hold Yelbase harmless from any claims, losses, liabilities, or damages, including legal fees, arising out of the user's violation of these terms, misuse of the platform, or infringement of third-party rights.
• 7 - 4Yelbase shall not be liable for any failure or delay in the performance of its obligations under these terms due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor strikes, governmental restrictions, or network outages.

Article 8 - Security and Confidentiality

• 8 - 1While Yelbase employs reasonable security measures to protect user data, users acknowledge that no system is completely secure. Yelbase cannot guarantee the absolute security of its platform and disclaims any liability for unauthorized access to user accounts or data, except where such breach results from gross negligence on Yelbase's part.
• 8 - 2Yelbase will maintain the confidentiality of user data in accordance with its Privacy Policy and applicable UAE laws. However, Yelbase reserves the right to disclose user information to governmental authorities if required by law, court order, or in response to regulatory requests.
• 8 - 3Users are responsible for safeguarding the confidentiality of their login credentials and personal data. Yelbase disclaims any responsibility for unauthorized access resulting from user negligence, including the sharing of account credentials.
• 8 - 4Yelbase may collect, store, and use user data for the purposes of operating, improving, and promoting the platform, in accordance with its Privacy Policy. Users agree to the collection and processing of their data as outlined in Yelbase’s Privacy Policy.

Article 9 - Governing Law and Dispute Resolution

• 9 - 1These terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or related to these terms or the use of the Yelbase platform shall be subject to the exclusive jurisdiction of the courts of the UAE.
• 9 - 2In the event of a dispute, users must first contact Yelbase’s customer support team to attempt to resolve the issue informally. If the dispute cannot be resolved informally within 30 days, either party may submit the dispute for resolution through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
• 9 - 3Any legal actions or proceedings related to the enforcement of these terms or arising out of the use of Yelbase services must be brought within one year from the date the claim or cause of action arose.
• 9 - 4In the event that any provision of these terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Article 10 - Termination

• 10 - 1Yelbase reserves the right to terminate any user’s access to the platform, with or without cause, at any time and without prior notice. Termination may occur due to a breach of these terms, illegal activity, or any conduct that Yelbase deems harmful to the platform or its users.
• 10 - 2Upon termination, the user’s right to access the platform and use the services will immediately cease. Yelbase reserves the right to delete or deactivate the user’s account and any related data upon termination.
• 10 - 3If Yelbase terminates a user’s account due to a violation of these terms, the user will not be entitled to any refund or compensation. Yelbase also reserves the right to pursue legal action to recover damages or enforce other rights under these terms.
